1. Definitions
"Software" means all MagicDX software products, including but not limited to Magic-Link, Magic-Mail, Magic-Mark, Magic-Sessionmanager, Magic-Editor-X, and any associated files, documentation, updates, and components.
"License" means the right to use the Software as granted under this Agreement.
"License Key" means the unique alphanumeric code provided to activate the Software.
"License File" means any file, data, token, certificate, or code used to validate, authenticate, or enable the Software's features, including but not limited to:
- Activation tokens
- License keys and key files
- Validation certificates
- Configuration files containing license data
- Encrypted license payloads
- Server responses containing license validation data
"Licensor" means Al-Ahmad IT Services, operated by Scherwan Al-Ahmad.
"Licensee" or "You" means the individual or entity that has obtained a license to use the Software.
"Free Tier" means the basic functionality provided at no cost with limited features.
"Premium Tier" means paid functionality with enhanced features as specified in the pricing.
2. License Grant
2.1 Free Tier License
Subject to the terms of this Agreement, Licensor grants You a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Free Tier features of the Software
- Use the Software for personal or commercial projects
- Access basic features as specified in the documentation
2.2 Premium License
Upon payment of applicable fees and subject to this Agreement, Licensor grants You a limited, non-exclusive, non-transferable license to:
- Install and use the Software according to Your purchased plan
- Access Premium features as specified in Your license tier
- Receive updates during Your subscription period
2.3 License Tiers

2.4 Scope of License
Your license is:
- Personal: Bound to Your account/organization
- Non-transferable: Cannot be sold, rented, or given to others
- Limited: Restricted to the scope of Your purchased tier
- Conditional: Subject to compliance with this Agreement
3. License Restrictions
3.1 You May NOT:
- Redistribute the Software or any part thereof
- Sublicense the Software to third parties
- Sell, rent, or lease the Software
- Use the Software to create competing products
- Share Your License Key with unauthorized parties
- Exceed the installation or user limits of Your tier
- Remove or alter proprietary notices or labels
- Modify License Files or validation mechanisms
- Reverse engineer the Software except as permitted by law
- Bypass technical protection measures
3.2 Permitted Uses
You MAY:
- Use the Software for commercial projects (within license limits)
- Make backup copies for archival purposes
- Modify the Software's output for Your projects
- Extend functionality through documented APIs
4. License Validation and Protection
4.1 Automatic Validation
The Software connects to our license server to:
- Validate License Key authenticity
- Verify license tier and limits
- Check for updates
- Collect anonymized usage statistics
4.2 Technical Protection Measures
The Software contains technical measures to prevent unauthorized use. These measures may include:
- License key encryption
- Server-side validation
- Usage monitoring
- Tamper detection
4.3 License File Integrity
CRITICAL NOTICE:
THE MODIFICATION, ALTERATION, TAMPERING WITH, OR CIRCUMVENTION OF ANY LICENSE FILE, LICENSE KEY, VALIDATION MECHANISM, OR TECHNICAL PROTECTION MEASURE IS STRICTLY PROHIBITED.
This prohibition includes but is not limited to:
- Modifying License Files or their contents
- Creating counterfeit or unauthorized License Keys
- Patching or modifying validation code
- Intercepting or manipulating validation requests/responses
- Using tools designed to bypass licensing
- Distributing cracked or unlicensed versions
- Sharing methods to circumvent licensing
- Hosting or distributing license bypass tools
4.4 Consequences of License Violation
Violation of Section 4.3 constitutes a material breach of this Agreement and may result in:
Civil Consequences:
- Immediate termination of all licenses
- Liability for actual damages including lost revenue
- Liability for statutory damages where available
- Injunctive relief
- Attorney's fees and court costs
- Audit rights
Criminal Consequences (where applicable):
Under German Law:
- § 202a StGB (Ausspähen von Daten) - Unauthorized data access: Up to 3 years imprisonment or fine
- § 202b StGB (Abfangen von Daten) - Data interception: Up to 2 years imprisonment or fine
- § 202c StGB (Vorbereiten des Ausspähens) - Preparing unauthorized access: Up to 2 years imprisonment or fine
- § 263a StGB (Computerbetrug) - Computer fraud: Up to 5 years imprisonment or fine
- § 303a StGB (Datenveränderung) - Data manipulation: Up to 2 years imprisonment or fine
- § 303b StGB (Computersabotage) - Computer sabotage: Up to 3 years imprisonment or fine
- § 106 UrhG (Urheberrechtsverletzung) - Copyright infringement: Up to 3 years imprisonment or fine
Under EU Law:
- Directive 2001/29/EC (InfoSoc) - Circumvention of technological protection measures
- Directive 2009/24/EC - Legal protection of computer programs
Under International Law:
- WIPO Copyright Treaty violations
- DMCA (USA) - Anti-circumvention provisions: Up to $500,000 fine and/or 5 years imprisonment
- Computer Fraud and Abuse Act (USA)
- Applicable national computer crime laws
4.5 Monitoring and Enforcement
Licensor actively monitors for license violations using:
- Automated detection systems
- Community reporting
- Third-party anti-piracy services
We will pursue all available legal remedies and may share violation data with law enforcement authorities.
4.6 Reporting Violations
If you become aware of license violations, please report them to: legal@magicdx.dev
5. Prohibited Activities
5.1 Expressly Prohibited
The following activities are expressly prohibited and constitute material breach:
License Circumvention
- Modifying any License File or validation mechanism
- Creating, distributing, or using license generators
- Bypassing feature restrictions
- Using shared or stolen License Keys
Reverse Engineering
- Decompiling, disassembling, or reverse engineering the Software
- Deriving source code from compiled code
- Creating derivative works (except as permitted by EU Directive 2009/24/EC)
Distribution
- Distributing the Software without authorization
- Uploading to file-sharing sites
- Including in other products without license
Misuse
- Using the Software for illegal purposes
- Processing data in violation of privacy laws
- Creating malware or spam tools
5.2 Permitted Reverse Engineering (EU Law)
Under EU Directive 2009/24/EC, You may:
- Study the Software to understand its ideas and principles during normal use
- Decompile for interoperability purposes only if:
- You are a legitimate user
- Information is not readily available
- Acts are limited to interoperability purposes
- Information obtained is not used for other purposes
6. Intellectual Property
6.1 Ownership
The Software and all copies, modifications, and derivative works are the exclusive property of Licensor. This Agreement does not transfer ownership.
6.2 Copyright
The Software is protected by:
- German Copyright Law (Urheberrechtsgesetz - UrhG)
- EU Copyright Directive 2001/29/EC
- International copyright treaties (Berne Convention, WIPO)
- Applicable national laws
6.3 Trademarks
"MagicDX", "Magic-Link", "Magic-Mail", "Magic-Mark", "Magic-Sessionmanager", "Magic-Editor-X", and associated logos are trademarks of Al-Ahmad IT Services.
6.4 Third-Party Components
The Software may include open-source components subject to their respective licenses. A list is available in the Software documentation.
7. Updates and Support
7.1 Updates
- Free Tier: Minor updates and security patches
- Premium Tiers: All updates during subscription period
- Advanced Tier: Priority updates and hotfixes
7.2 Support

7.3 No Obligation
Licensor is not obligated to provide updates, upgrades, or support beyond what is specified in Your tier.
8. Term and Termination
8.1 Term
- Free Tier: Perpetual, subject to compliance
- Premium Tiers: Duration of subscription
- Perpetual Licenses: Perpetual, if offered
8.2 Termination by Licensee
You may terminate by:
- Uninstalling the Software
- Cancelling Your subscription
- Deleting all copies
8.3 Termination by Licensor
Licensor may terminate immediately if You:
- Breach any term of this Agreement
- Violate license integrity provisions (Section 4)
- Fail to pay applicable fees
- Use the Software illegally
8.4 Effect of Termination
Upon termination:
- All rights granted terminate immediately
- You must cease all use of the Software
- You must delete all copies
- Subscription access ends immediately for breach-based termination
- Sections 4, 5, 6, 9, 10, 11, and 12 survive termination
9. Disclaimer of Warranties
9.1 "AS IS" Provision
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
9.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- QUIET ENJOYMENT
- INTEGRATION
- ABSENCE OF VIRUSES OR ERRORS
9.3 No Guarantee
LICENSOR DOES NOT WARRANT THAT:
- The Software will meet Your requirements
- The Software will be uninterrupted or error-free
- All defects will be corrected
- The Software will be compatible with all systems
9.4 German Consumer Rights
Für Verbraucher in Deutschland gelten die gesetzlichen Gewährleistungsrechte gemäß §§ 434 ff. BGB. Die gesetzlichen Rechte werden durch diese Klausel nicht eingeschränkt.
10. Limitation of Liability
10.1 Maximum Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED:
- The amount paid for the Software in the 12 months preceding the claim, OR
- EUR 100, whichever is greater
10.2 Exclusion of Damages
LICENSOR SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption
- Cost of substitute products
- Damages arising from unauthorized use or access
10.3 Exceptions (German Law)
Die Haftung für Vorsatz und grobe Fahrlässigkeit sowie für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit bleibt unberührt. Bei einfacher Fahrlässigkeit haftet der Lizenzgeber nur bei Verletzung wesentlicher Vertragspflichten (Kardinalpflichten).
11. Indemnification
11.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Software
- Your violation of this Agreement
- Your violation of any third-party rights
- Your violation of applicable laws
11.2 Procedure
Licensor will notify You of claims and cooperate in defense. Licensor may assume exclusive defense at its expense.
12. Governing Law
12.1 Applicable Law
This Agreement is governed by the laws of the Federal Republic of Germany, excluding:
- Conflict of law provisions
- UN Convention on Contracts for the International Sale of Goods (CISG)
12.2 Jurisdiction
For Business Customers: Exclusive jurisdiction: Courts of Berlin, Germany
For Consumers in the EU: You may bring claims in Berlin or your country of residence.
12.3 German Text
Bei Widersprüchen zwischen deutscher und englischer Fassung gilt die deutsche Fassung.
13. General Provisions
13.1 Entire Agreement
This Agreement constitutes the entire agreement between You and Licensor regarding the Software and supersedes all prior agreements.
13.2 Severability
If any provision is held invalid, the remaining provisions continue in effect. The invalid provision shall be modified to the minimum extent necessary.
13.3 Waiver
Failure to enforce any provision does not constitute waiver of that provision.
13.4 Assignment
You may not assign this Agreement. Licensor may assign to successors.
13.5 Amendments
Licensor may amend this Agreement with notice. Continued use constitutes acceptance.
13.6 Export Compliance
You agree to comply with all applicable export laws and regulations.
13.7 Force Majeure
Licensor is not liable for delays or failures due to circumstances beyond reasonable control.

Acknowledgment
BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
This License Agreement is also available in German. In case of discrepancy, the German version prevails.
